In the corporate area, the firm has experience in mergers, acquisitions, recapitalizations, redemptions, liquidations and other corporate reorganizations. The firm has represented numerous clients in various industries in significant merger and acquisition transactions involving both public and privately held businesses.
The firm engages in general estate planning for its clients. The firm has broad experience in the preparation of wills, various types of trusts, living wills, powers of attorney and other similar documents. The firm also advises the owners of closely-held corporations or partnerships with respect to issues which interrelate with estate planning considerations, including the promulgation of shareholder agreements, partnership agreements, non-qualified deferred compensation plans, and qualified plans.
The firm provides counseling and tax planning advice with respect to a broad range of federal, state and local tax matters. The firm also provides tax planning for the structuring of partnerships, real estate transactions, and employee benefits. The firm is active in tax work relating to trusts, estate and financial planning, and matters involving compensation. The firm has extensive experience with federal and state tax audits in all areas.
